PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PRIVACY ON DEMAND CONSOLE.
1. Acceptance of Terms
By accessing or using the Privacy On Demand Console (“Console,” “Service,” or “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Console.
These Terms constitute a legally binding agreement between you and Privacy On Demand (“POD Florida,” “Company,” “we,” “us,” or “our”).
2. Description of Service
The Privacy On Demand Console is a business management platform designed for authorized distributors, affiliates, and employees of Privacy On Demand. The Console provides tools for:
- Lead and customer management
- Order processing for privacy products (curtains, sails, rolldown shades)
- Manufacturing workflow tracking
- Financial reporting and payment processing
- Appointment scheduling
- Marketing and communications tools
- Inventory and materials management
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms. The Console is intended for authorized business users only, including:
- Employees of Privacy On Demand
- Authorized distributors and affiliates
- Contractors with valid agreements
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use of your account
- Ensuring your contact information remains current and accurate
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Console only for legitimate business purposes related to Privacy On Demand operations.
4.2 Prohibited Conduct
You agree NOT to:
- Share your login credentials with unauthorized individuals
- Access another user’s account without authorization
- Use the Console for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any portion of the Console
- Interfere with or disrupt the Console or servers
- Upload malicious code, viruses, or harmful content
- Scrape, harvest, or collect data from the Console without authorization
- Use the Console to send spam or unsolicited communications
- Misrepresent your identity or affiliation
- Violate any applicable laws or regulations
5. Customer and Lead Data
5.1 Data Handling
You acknowledge that the Console contains sensitive customer information. You agree to:
- Handle all customer data in accordance with applicable privacy laws
- Use customer information only for legitimate business purposes
- Not share customer data with unauthorized third parties
- Report any data breaches or security incidents immediately
5.2 Data Ownership
Customer and lead data entered into the Console remains the property of Privacy On Demand. Upon termination of your access, you must cease using any customer data obtained through the Console.
6. Intellectual Property
6.1 Ownership
The Console, including its design, features, functionality, and content, is owned by Privacy On Demand and protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Console for authorized business purposes. This license does not include the right to:
- Modify or copy the Console software
- Reverse engineer or decompile any portion of the Console
- Remove any copyright or proprietary notices
- Create derivative works based on the Console
7. Third-Party Integrations
The Console integrates with third-party services including:
- Google Analytics
- Google Calendar
- MailChimp and Brevo (email marketing)
- Twilio (SMS communications)
- Payment processing services
- OpenAI (AI-powered features)
Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.
8. Payment and Financial Information
8.1 Accuracy
You are responsible for ensuring the accuracy of all financial data entered into the Console, including payment records, pricing, and cost information.
8.2 Payment Processing
Payment processing through the Console is handled by secure third-party processors. We do not store complete credit card numbers on our servers.
9. Disclaimers
9.1 “As Is” Provision
THE CONSOLE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Guarantee
We do not warrant that:
- The Console will be uninterrupted or error-free
- Defects will be corrected
- The Console is free of viruses or harmful components
- The results obtained from using the Console will be accurate or reliable
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVACY ON DEMAND SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Any damages resulting from unauthorized access to or use of our servers
- Any damages resulting from interruption or cessation of the Service
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU, IF ANY, FOR ACCESS TO THE CONSOLE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Privacy On Demand, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Console
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws
12. Termination
12.1 By Company
We may suspend or terminate your access to the Console at any time, with or without cause, and with or without notice.
12.2 By User
You may request termination of your account by contacting your administrator or Privacy On Demand directly.
12.3 Effect of Termination
Upon termination:
- Your right to access the Console immediately ceases
- You must cease using any customer data obtained through the Console
- Provisions that by their nature should survive will remain in effect
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes through the Console or via email. Your continued use of the Console after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Florida.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Privacy On Demand regarding the Console and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent.
